Terms of Service

These Terms of Service (“Terms”) govern access to and use of the DataWell website, demo environments, and proof-of-concept services (collectively, the “Services”) provided by Versai Labs (“Versai Labs,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Scope of Services

1.1. The Services provide limited, time-bound access to the DataWell System Intelligence Engine for informational, evaluation, demo, and proof-of-concept purposes.

1.2. The Services are not intended for production use, commercial deployment, or mission-critical workloads.

1.3. Versai Labs reserves the right to modify, suspend, or discontinue the Services at any time without liability.

2. License and Restrictions

2.1. Subject to these Terms, Versai Labs grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Services solely for internal evaluation during the demo or proof-of-concept period.

2.2. You must not:

Use the Services in production or for commercial exploitation.
Copy, modify, decompile, reverse-engineer, or attempt to extract source code.
Circumvent technical restrictions, security controls, or usage limits.
Use the Services to process unlawful or high-risk data (including personal data beyond what is explicitly supported).

3. Confidentiality

3.1. You agree that all non-public information disclosed by Versai Labs in connection with the Services, including product features, performance, and results, shall be treated as confidential information.

3.2. You must not disclose such information to third parties without prior written consent.

4. Feedback

If you provide feedback, comments, or suggestions regarding the Services, Versai Labs may use this input without restriction or obligation. You grant Versai Labs a worldwide, royalty-free, perpetual license to use such feedback for product improvement.

5. User Responsibilities

5.1. You agree to use the Services in compliance with all applicable laws and regulations.

5.2. You are solely responsible for:

Accuracy of information provided during registration.
Secure management of credentials.
Ensuring your systems and data are protected against security risks.

6. Data Protection and Privacy

6.1. Personal data processed through the Services is handled in accordance with the Privacy Policy and GDPR Compliance Statement, available at [links].

6.2. You must not upload personal data or confidential company data into the demo environment except as strictly necessary for evaluation.

7. Export Control and Compliance

7.1. You agree to comply with all applicable export control, trade, and sanctions laws, including those of the European Union and the United States.

7.2. You may not access or use the Services if you are located in a jurisdiction subject to comprehensive sanctions.

8. Term and Termination

8.1. These Terms remain in effect for the duration of your demo or proof-of-concept access unless terminated earlier.

8.2. Versai Labs may terminate your access immediately if you breach these Terms.

8.3. Upon termination, you must cease all use of the Services and delete any related data or materials.

8.4. Sections 2 (License and Restrictions), 3 (Confidentiality), 4 (Feedback), 7 (Export Control), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), and 13 (Miscellaneous) shall survive termination.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

Versai Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Versai Labs does not guarantee uptime, availability, or performance of demo or POC environments.

10. Limitation of Liability

10.1. To the fullest extent permitted by law, Versai Labs shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages.
Loss of data, revenue, profits, or business opportunities.
10.2. Versai Labs’ total liability under these Terms shall not exceed $100 USD.

11. Indemnification

You agree to indemnify and hold harmless Versai Labs, its affiliates, and employees against claims, damages, or expenses arising from:

Your misuse of the Services, or
Your violation of these Terms.

12. Force Majeure

Versai Labs shall not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, government actions, labor disputes, or internet outages.

13. Miscellaneous

13.1. Entire Agreement: These Terms constitute the entire agreement between you and Versai Labs concerning demo and proof-of-concept use.

13.2. Severability: If any provision is found invalid, the remaining provisions shall remain enforceable.

13.3. Waiver: Failure to enforce any provision shall not constitute a waiver.

13.4. Assignment: You may not assign or transfer your rights under these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Wyoming. The courts of Wyoming shall have exclusive jurisdiction over disputes.
